Ascensia Diabetes Care Canada Inc. Standard Terms and Conditions

All orders are subject to all instructions terms and conditions set out herein and availability of product.

Payment Terms

The net selling price, applicable taxes and other charges (if any) are payable within 30 days from invoice date, with a 1% discount available if payment is remitted within ten (10) days from invoice date, unless otherwise specified.

Prices:

All prices are subject to change without notice. All orders will be filled at prevailing prices in effect at the time the order is processed.

Minimum Order Policy

Minimum order value for Retail Customers $2,000 net.
Minimum order value for Wholesalers and Distributors $2,000 net.
Minimum order value for hospitals $500 net.
All prices are subject to change without notice and orders cannot be combined with any other Ascensia Diabetes Care Canada Inc. products to meet minimum order requirement.

Delivery

The price for product includes delivery to customer’s location. There will be no reduction of price of product should a customer decide to receive product from Ascensia Diabetes Care Canada Inc.’s shipping location
All orders will be shipped prepaid, by a carrier chosen by Ascensia Diabetes Care Canada Inc. If a customer requests a more expensive mode of delivery, any additional costs associated with such request, will be assumed by the customer, unless otherwise agreed, and paid for as herein stated.

Goods Eligible for Credit

 

  1. Goods/Products returned to Ascensia Diabetes Care Canada Inc. within 12 months after the expiry date, are eligible to receive a credit at 95% of original purchase price.

  2. Original purchase price of Goods that have been paid for and shipped in error or received by customer damaged, will be credited to customer, provided that customer has notified Ascensia Diabetes Care Canada Inc. of such an error or damage within 5 business days of receipt of the goods and proper storage and transportation history documentation is submitted with the returned goods. Product must be shipped back to Ascensia Diabetes Care Canada Inc. in the same condition it was
    received.

  3. No refunds will be provided. Only customer credits for future use of Ascensia Diabetes Care Canada Inc. product purchase will be provided.

Items not Eligible for Credit

 

  1. All goods received for return prior to expiration date.

  2. Goods returned more than 12 months past expiry date.

  3. Goods returned without authorization from Ascensia Diabetes Care Canada Inc.

  4. Goods sold on a non-returnable basis.

  5. Open packages but may be returned for destruction.

  6. Goods defaced or marked by customer.

  7. Items damaged by fire, smoke, heat or water resulting from fire or other insurable hazards damaged or otherwise outside the control of Ascensia Diabetes Care Canada Inc.

  8. Goods damaged upon receipt or shipped in error, where the customer has not informed Ascensia Diabetes Care Canada Inc. of the damage or the error within 5 business days of receipt.

  9. Product not obtained directly from Ascensia Diabetes Care Canada Inc. This includes product purchased through a wholesaler or distributor and product obtained through diverted or other means, including product obtained from outside of Canada. Such product should be returned to the original shipping location. In cases where source of purchase is in question, it will be the customer’s responsibility to provide reasonable proof of purchase.

  10. Product disposed of by the customer unless specifically pre-approved by Ascensia Diabetes Care Canada Inc.

  11. Goods marked “Professional Sample”, “Professional Package”, “Clinical Trial Package” or with similar markings or special labels.

Incomplete or Damaged Shipment

Any claims pertaining to incomplete, damage or loss to Product, in transit must be clearly recorded on the delivery slip of the shipping company at the time the goods are received by Customer; otherwise no claim will be considered by Ascensia Diabetes Care Canada Inc. A copy of the bill of lading must accompany the claim for credit and must be sent to Customer Service within 5 business days. The customer must retain the original copy of the bill of lading.

Return Procedure

Authorization number for returns must be obtained by phoning the Ascensia Diabetes Care Canada Inc. Customer Service Department at: 1-833-226-8778, via email
@ ordserv.canada@ascensia.com or via an Ascensia Diabetes Care Canada Inc. Territory Business Sales Representative.
Non-direct accounts will receive authorization and credit through the wholesaler or distributor where the goods were originally purchased.
Ascensia Diabetes Care Canada Inc. Representatives cannot authorize the return of products other than those of Ascensia Diabetes Care Canada Inc.
Returns should have the authorization number indicated on the outside of the package and be shipped to Ascensia Diabetes Care Canada Inc. Freight Prepaid, unless otherwise authorized:

Customers are recommended to include with each shipment, a listing of the products returned along with matching lot numbers for easy identification.
Returns, which are not eligible for credit, will not be returned to the customer.

Prohibition on Exports

The Product(s) provided by Ascensia Diabetes Care Canada Inc. to customers are for sale in Canada only. Ascensia Diabetes Care Canada Inc. expects that under no circumstances will the customers seek other customers, establish any branch, or maintain any distribution depot outside of the Territory (ie. Canada) with respect to the Product(s). The customer shall not sell or deliver the Product(s) outside the Territory and the customer agrees that it will take the steps to prevent such sales and delivery. If Ascensia Diabetes Care Canada Inc. becomes aware of such sales and delivery by the customer, Ascensia Diabetes Care Canada Inc. reserves its right to withhold further supplies of Ascensia Diabetes Care Canada Inc. product to that customer.

Reporting of purchase data

Ascensia Diabetes Care Canada Inc. customers who are distributors or wholesalers are required to report all sales of Ascensia Diabetes Care Canada Inc. products (including historical sales data) to Ascensia Diabetes Care Canada Inc. or to any third party designated by Ascensia Diabetes Care Canada Inc. to receive, process and deliver this sales information to Ascensia Diabetes Care Canada Inc. Reports are to be provided in a format and at such intervals as instructed by Ascensia Diabetes Care Canada Inc. in writing from time to time. The information received by Ascensia Diabetes Care Canada Inc. or its designee shall be held in confidence and used solely by Ascensia Diabetes Care Canada Inc. for the management of its trade terms and sales policies in compliance with applicable laws. Ascensia Diabetes Care Canada Inc. may also use such information to comply with applicable laws and regulations including, but not limited to, withdrawals or recalls required or requested by an agency or regulatory body or, in its sole discretion, by Ascensia Diabetes Care Canada Inc. should Ascensia Diabetes Care Canada Inc. deem a withdrawal or recall or field action necessary for any reason whatsoever.
